Terms of Service

Important Notice: These Terms of Service apply to demo accounts, free tier usage, and non-enterprise users of the Senpilot platform. Enterprise customers are governed by their separately executed Master Services Agreement (MSA). If you have an enterprise license, these terms do not apply to you.

1. Acceptance of Terms

By accessing or using Senpilot's demo, free tier, or non-enterprise services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Services.

Senpilot Inc. ("Senpilot," "we," "our," or "us") reserves the right to modify these Terms at any time. Continued use of the Services after changes constitutes acceptance of the modified Terms.

2. Service Access

2.1 Demo and Free Tier

Demo and free tier access is provided at Senpilot's sole discretion for evaluation and limited use purposes. These services are provided "as is" with no guarantees of availability, uptime, or performance.

2.2 Account Registration

You may be required to create an account to access certain features. You agree to:

  • Provide accurate, current, and complete information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access or security breach
  • Accept responsibility for all activities under your account

2.3 Access Restrictions

We reserve the right to limit, suspend, or terminate your access to the Services at any time, for any reason, without notice. This includes but is not limited to violations of these Terms, suspicious activity, or resource constraints.

3. Acceptable Use Policy

You agree to use the Services only for lawful purposes and in accordance with these Terms. You explicitly agree NOT to:

3.1 Prohibited Activities

  • Jailbreaking or Prompt Injection: Attempt to bypass, circumvent, or manipulate any safety measures, content filters, usage restrictions, or security controls in our AI systems
  • Adversarial Testing: Conduct red teaming, penetration testing, or adversarial attacks without explicit written authorization
  • Reverse Engineering: Attempt to reverse engineer, decompile, disassemble, or discover the source code, algorithms, or techniques of our AI models or platform
  • Automated Access: Use bots, scrapers, or automated tools to access the Services without authorization
  • Resource Abuse: Excessively consume computational resources, API calls, or bandwidth in a manner that degrades service for other users
  • Data Mining: Extract, scrape, or collect data from the Services for training competing AI models or building derivative products
  • Harmful Content: Generate, distribute, or request illegal content, malware, hate speech, or content that violates applicable laws
  • Impersonation: Impersonate any person or entity, or misrepresent your affiliation with any person or entity
  • Security Violations: Probe, scan, or test the vulnerability of any system or network, or breach security or authentication measures
  • Interference: Interfere with or disrupt the Services, servers, or networks connected to the Services

3.2 Consequences of Violations

Violation of this Acceptable Use Policy may result in immediate and permanent termination of your access to the Services, including:

  • Account suspension or deletion
  • IP address blocking or banning
  • Reporting to appropriate law enforcement authorities
  • Legal action to recover damages

4. Monitoring and Security

4.1 Usage Monitoring

To maintain security, prevent abuse, and improve our Services, we actively monitor and log:

  • IP Addresses: Your IP address and geolocation data
  • Usage Patterns: Frequency, volume, and patterns of API calls and interactions
  • Input Content: Prompts, queries, and other input submitted to our AI systems
  • Output Content: Responses and outputs generated by our AI systems
  • System Logs: Technical logs including errors, performance metrics, and system events
  • Account Activity: Login times, account changes, and feature usage

4.2 Security Measures

We employ automated and manual security measures to detect and prevent misuse, including:

  • Pattern recognition and anomaly detection
  • Rate limiting and usage throttling
  • Content filtering and moderation
  • Behavioral analysis and risk scoring

4.3 Data Retention

For security and compliance purposes, we retain logs and monitoring data for up to 90 days, or longer if required by law or to investigate potential violations.

5. Intellectual Property

5.1 Our Rights

All rights, title, and interest in the Services, including but not limited to AI models, algorithms, software, documentation, and content, are owned by Senpilot and are protected by intellectual property laws.

5.2 Your Content

You retain ownership of any content you submit to the Services ("User Content"). By submitting User Content, you grant Senpilot a worldwide, non-exclusive, royalty-free license to use, reproduce, process, and analyze User Content solely for the purposes of:

  • Providing and improving the Services
  • Training and improving our AI models
  • Detecting and preventing abuse
  • Complying with legal obligations

5.3 Output Content

AI-generated outputs are provided to you for your use. However, due to the nature of AI systems, we cannot guarantee that outputs are unique, and similar outputs may be generated for other users.

6. No Warranties and Limitations

6.1 Demo and Free Tier Disclaimer

THE DEMO AND FREE TIER SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We specifically disclaim any warranties regarding:

  • Service availability, uptime, or reliability
  • Accuracy, completeness, or quality of AI outputs
  • Data preservation or backup
  • Security or prevention of unauthorized access
  • Compatibility with your systems or workflows

6.2 AI System Limitations

You acknowledge that AI systems:

  • May produce inaccurate, incomplete, or inappropriate outputs
  • Should not be relied upon for critical decisions
  • Require human review and oversight
  • May reflect biases present in training data

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SENPILOT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, WHETHER ARISING FROM:

  • Use or inability to use the Services
  • Unauthorized access to or alteration of your data
  • Actions or content of third parties using the Services
  • Suspension or termination of your access
  • Any other matter relating to the Services

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM DEMO OR FREE TIER USAGE SHALL NOT EXCEED $100 USD.

8. Indemnification

You agree to indemnify, defend, and hold harmless Senpilot, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

  • Your use or misuse of the Services
  • Violation of these Terms
  • Violation of any rights of another party
  • User Content you submit or generate

9. Data and Privacy

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand how we collect, use, and protect your information.

10. Termination

Either party may terminate your access to the Services at any time:

  • By You: You may stop using the Services at any time
  • By Us: We may suspend or terminate your access immediately, with or without cause, with or without notice

Upon termination:

  • Your right to access the Services ceases immediately
  • We may delete your account and data without liability (we are under no obligation to retain your data)
  • Sections that by their nature should survive termination will survive

11. Modifications to Services

We reserve the right to modify, suspend, or discontinue the Services (or any part thereof) at any time, with or without notice, for any reason. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Services.

12. Export Compliance

You agree to comply with all applicable export and import laws and regulations. You represent that you are not located in, under the control of, or a national or resident of any country to which the United States has embargoed goods or services.

13. Dispute Resolution

13.1 Governing Law

These Terms are governed by the laws of the State of New York, United States, without regard to its conflict of law provisions.

13.2 Arbitration

Any dispute arising from these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. Arbitration shall take place in New York, NY. You agree to waive any right to a jury trial or to participate in a class action.

13.3 Exceptions

Either party may seek injunctive relief in court to prevent irreparable harm while arbitration is pending.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Senpilot regarding demo and free tier Services.

14.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

14.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms at any time without notice.
